1. DEFINITIONS

1.1. “Font” refers to the ADAcertify Dyslexia-Friendly Font, including any software, design, glyphs, and underlying code, whether downloaded, embedded, hosted, or otherwise delivered.
1.2. “Licensed Use” means the permitted use described in Section 2 of this Agreement.
1.3. “Authorized User” refers to the individual, organization, or entity that has entered into this Agreement and has been granted rights to use the Font.
1.4. “Output” refers to any digital or print content that incorporates or displays the Font.

2. GRANT OF LICENSE

Subject to the terms and conditions of this Agreement, ADAcertify hereby grants the Licensee a non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Use the Font solely for accessibility-enhancing purposes, including improving readability for individuals with dyslexia;
• Embed the Font in Licensee’s website(s), software, applications, or digital documents;
• Display the Font in print and digital materials directly related to the Licensee’s accessibility efforts.

This license does not permit resale, redistribution, modification, or commercial exploitation of the Font unless expressly authorized in writing by ADAcertify.

3. RESTRICTIONS

Licensee shall not:

• Distribute, sublicense, sell, rent, lease, or assign the Font;
• Modify, reverse engineer, decompile, or create derivative works of the Font;
• Use the Font in any unlawful, deceptive, misleading, or harmful manner;
• Use the Font in any context unrelated to improving accessibility, readability, or inclusion.

Any unauthorized use constitutes a material breach of this Agreement.

4. OWNERSHIP AND INTELLECTUAL PROPERTY

The Font is protected by intellectual property laws, including but not limited to copyright and trademark laws. All rights, title, and interest in and to the Font, including all associated intellectual property rights, remain the sole and exclusive property of ADAcertify.
Licensee acknowledges that they obtain no ownership interest in the Font through this Agreement.

5. TERM AND TERMINATION

5.1. Term: This Agreement is effective as of the Effective Date and shall remain in force until terminated as provided herein.
5.2. Termination: ADAcertify may terminate this Agreement at any time upon written notice if the Licensee breaches any term of this Agreement. Upon termination, Licensee must immediately cease all use of the Font and destroy all copies in its possession.

6. DISCLAIMER OF WARRANTY

The Font is provided “as is,” without warranty of any kind, express or implied. ADAcertify makes no representation or warranty that the Font will meet Licensee’s requirements or be error-free.

To the fullest extent permitted by law, ADAcertify disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. LIMITATION OF LIABILITY

In no event shall ADAcertify be liable for any indirect, special, incidental, punitive, or consequential damages arising out of the use or inability to use the Font, even if ADAcertify has been advised of the possibility of such damages. ADAcertify’s total liability under this Agreement shall not exceed the amount paid by Licensee, if any, for the use of the Font.

8. INDEMNIFICATION

Licensee agrees to indemnify, defend, and hold harmless ADAcertify, its officers, directors, employees, and affiliates from and against any claims, losses, liabilities, damages, costs, and expenses, including attorneys’ fees, arising out of or relating to the Licensee’s use or misuse of the Font.

9. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. The parties agree that any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, USA.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the Font and supersedes all prior or contemporaneous understandings. No amendment or modification of this Agreement shall be binding unless in writing and signed by an authorized representative of ADAcertify.

By downloading, installing, or using the ADAcertify Dyslexia-Friendly Font, the Licensee agrees to be bound by the terms and conditions of this License Agreement.
